Paramount Agrees to Delay WBD Acquisition to June 2027, Adding Over $1B in Ticking Fees

According to CNBC, Paramount Skydance agreed on Friday to delay its Warner Bros. Discovery acquisition to as late as June 2027 amid an antitrust lawsuit filed by state attorneys general. Under the agreement, Paramount will pay a "ticking fee" of 25 cents per share per quarter starting September 30, potentially adding over $1 billion to the $110 billion deal price. A judge issued a temporary restraining order earlier this week as the merger faces legal challenges over competition concerns. The U.S. Department of Justice and European regulators have already approved the transaction.
